1. Agreement to Terms

Welcome to VerdictFlow! These Terms of Service ("Terms") constitute a legally binding agreement between you and VerdictFlow, Inc. ("VerdictFlow," "we," "our," or "us") governing your access to and use of our legal case management and referral platform, including our website, mobile applications, and related services (collectively, the "Service").

By accessing or using VerdictFlow, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

IMPORTANT: These Terms contain an arbitration clause and class action waiver (Section 18) that affects your legal rights. Please read it carefully.

2. Eligibility and Account Registration

2.1 Eligibility

To use VerdictFlow, you must:

  • Be at least 18 years old
  • Be a licensed attorney or legal professional authorized to practice law in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be barred from using the Service under applicable law
  • Not have been previously suspended or banned from VerdictFlow

2.2 Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Immediately notify us of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

You may not share your account credentials or allow others to access your account. You are solely responsible for maintaining the confidentiality of your login information.

2.3 Team Accounts

If you create a team account, you represent that you have authority to bind your law firm or organization to these Terms. You are responsible for all activities of team members under your account.

3. License and Restrictions

3.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes.

3.2 Restrictions

You agree NOT to:

  • Misuse the Service: Use the Service for any illegal, unauthorized, or improper purpose
  • Violate Laws: Use the Service in violation of any applicable laws or regulations
  • Impersonate Others: Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Interfere: Interfere with or disrupt the Service, servers, or networks
  • Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Scrape or Mine: Use automated systems to scrape, mine, or extract data from the Service
  • Bypass Security: Circumvent any security features or access controls
  • Spam or Harass: Send spam, unsolicited communications, or harass other users
  • Introduce Malware: Upload viruses, malware, or any harmful code
  • Commercial Use: Resell, sublicense, or commercially exploit the Service without our written permission

4. Subscription Plans and Payment

4.1 Subscription Plans

VerdictFlow offers various subscription plans (Free, Premium, Enterprise) with different features and usage limits. Current plan details and pricing are available on our Pricing page.

4.2 Billing and Payment

  • Subscription Fees: Paid plans are billed monthly or annually in advance
  • Payment Method: You must provide a valid payment method and authorize us to charge it
  • Auto-Renewal: Subscriptions automatically renew unless you cancel before the renewal date
  • Price Changes: We may change our prices with 30 days' advance notice
  • Taxes: Fees are exclusive of taxes; you are responsible for applicable taxes
  • Late Payments: We may suspend access for non-payment after reasonable notice

4.3 Refunds and Cancellation

  • No Refunds: Subscription fees are non-refundable except as required by law or at our sole discretion
  • Cancellation: You may cancel your subscription at any time from your account settings
  • Effect of Cancellation: You'll retain access until the end of your current billing period
  • Downgrade: Downgrading may result in loss of features or data

4.4 Free Trial

We may offer free trials for paid plans. If you don't cancel before the trial ends, you'll be automatically charged for the subscription. Free trial eligibility is determined by us and is limited to new customers.

5. User Content and Data

5.1 Your Content

"User Content" means any data, information, files, documents, communications, or other content you upload, submit, or transmit through the Service, including lead data, case information, communications, and documents.

You retain all ownership rights in your User Content.

5.2 License to VerdictFlow

By submitting User Content, you grant VerdictFlow a worldwide, non-exclusive, royalty-free, transferable license to use, store, copy, modify, display, and transmit your User Content solely to:

  • Provide, maintain, and improve the Service
  • Process your instructions and requests
  • Comply with legal obligations
  • Enforce these Terms

Important: We will not use your User Content for any other purpose, including advertising or training AI models, without your explicit consent.

5.3 Your Responsibilities

You represent and warrant that:

  • You own or have the necessary rights to submit User Content
  • Your User Content does not violate any laws or third-party rights
  • Your User Content does not contain confidential information you're not authorized to share
  • You have obtained all necessary consents from clients to store their information on VerdictFlow
  • You comply with all applicable attorney-client privilege and confidentiality rules

5.4 Data Backup

While we implement backup procedures, you are solely responsible for maintaining your own backups of User Content. We are not liable for any loss or corruption of User Content.

5.5 Data Retention and Deletion

If you delete User Content or close your account, we will delete your data within 90 days, except as required for legal compliance, dispute resolution, or enforcing these Terms.

6. Professional Responsibility

IMPORTANT: VerdictFlow is a practice management and referral tool. It does not provide legal advice and is not a substitute for professional judgment.

You acknowledge and agree that:

  • You are solely responsible for your legal work and professional obligations
  • You must comply with all applicable rules of professional conduct
  • You must maintain attorney-client privilege and confidentiality
  • You must obtain informed consent from clients as required by law
  • You must ensure compliance with jurisdictional advertising and solicitation rules
  • Referral fee arrangements must comply with applicable legal ethics rules
  • You must independently verify all information before relying on it

VerdictFlow is not responsible for your compliance with professional rules or any consequences of non-compliance.

7. Third-Party Integrations

VerdictFlow integrates with third-party services (Gmail, Outlook, HubSpot, Clio, etc.). Your use of these integrations is subject to:

  • The third party's terms of service and privacy policy
  • Your agreement to authorize data access
  • Availability and functionality of the third-party service

We are not responsible for third-party services, their availability, security, or any changes they make to their APIs or terms. We may discontinue integrations at any time.

8. Intellectual Property Rights

8.1 VerdictFlow's IP

The Service, including its software, design, text, graphics, logos, features, and functionality, is owned by VerdictFlow and is protected by copyright, trademark, patent, and other intellectual property laws.

8.2 Trademarks

"VerdictFlow" and our logos are trademarks of VerdictFlow, Inc. You may not use our trademarks without our prior written consent.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you. You hereby assign all rights in such feedback to VerdictFlow.

9. Privacy and Security

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information.

Security measures we implement include:

  • Encryption of data in transit and at rest
  • Regular security audits and assessments
  • Role-based access controls
  • Secure authentication protocols

However: No system is 100% secure. You are responsible for maintaining the security of your account credentials. We are not liable for unauthorized access resulting from your failure to secure your account.

10. Prohibited Activities

In addition to the restrictions in Section 3, you specifically agree NOT to:

  • Use the Service to engage in unlawful practice of law
  • Violate attorney advertising or solicitation rules
  • Share confidential information without proper authorization
  • Engage in fee splitting that violates ethical rules
  • Use the Service to commit fraud or deception
  • Harass, threaten, or defame other users
  • Infringe on intellectual property rights of others
  • Engage in any activity that could harm VerdictFlow's reputation

11. Termination

11.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us at support@verdictflow.com.

11.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity
  • Abuse or misuse the Service
  • Pose a security or legal risk

11.3 Effect of Termination

Upon termination:

  • Your right to access the Service immediately ceases
  • You must stop using the Service
  • We will delete your User Content within 90 days (except as legally required to retain)
  • You remain liable for all charges incurred before termination
  • Provisions that should survive (indemnification, disclaimers, limitations of liability) continue to apply

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

TO THE FULLEST EXTENT PERMITTED BY LAW, VERDICTFLOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability: No warranty that the Service is fit for any particular purpose
  • Availability: No guarantee of uninterrupted or error-free service
  • Accuracy: No warranty that information is accurate, complete, or current
  • Security: No guarantee against unauthorized access or data breaches
  • Results: No warranty regarding results, outcomes, or business success
  • Third-Party Services: No warranty for integrations or third-party services

VerdictFlow does not provide legal advice. You are solely responsible for your professional judgments and legal work.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

VERDICTFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

This includes damages resulting from:

  • Errors, bugs, or inaccuracies in the Service
  • Unauthorized access to your account or data
  • Service interruptions or downtime
  • Data loss or corruption
  • Third-party conduct or content
  • Integration failures or third-party service issues
  • Missed deadlines, lost cases, or professional liability claims

TOTAL LIABILITY CAP: Our total liability for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow limitation of certain damages, so some limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless VerdictFlow, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your violation of any third-party rights
  • Your professional conduct or malpractice
  • Your referral fee arrangements or agreements

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

15. DMCA and Copyright Policy

We respect intellectual property rights. If you believe your work has been infringed, please send a DMCA notice to:

Your notice must include:

  • Identification of the copyrighted work
  • Identification of the infringing material and its location
  • Your contact information
  • A statement of good faith belief
  • A statement under penalty of perjury
  • Your physical or electronic signature

We may terminate accounts of repeat infringers in accordance with the Digital Millennium Copyright Act.

16. Modifications to the Service and Terms

16.1 Service Changes

We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

16.2 Terms Changes

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms with a new "Last Updated" date
  • Sending an email notification to your registered email address
  • Displaying an in-app notification

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you don't agree to the changes, you must stop using the Service and close your account.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes not subject to arbitration (Section 18) shall be brought exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction in those courts.

18. Dispute Resolution and Arbitration

This section affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.

18.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@verdictflow.com to attempt to resolve the dispute informally. We'll try to resolve it within 60 days.

18.2 Binding Arbitration

If informal resolution fails, you agree that disputes will be resolved by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

Arbitration rules:

  • One arbitrator will be mutually selected
  • Arbitration will be conducted in Delaware (or remotely)
  • The arbitrator's decision is final and binding
  • Judgment may be entered in any court of competent jurisdiction
  • Each party bears their own costs and attorneys' fees unless the arbitrator decides otherwise

18.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.

You waive any right to participate in a class action or class-wide arbitration.

18.4 Exceptions

This arbitration provision does not apply to:

  • Intellectual property disputes
  • Small claims court proceedings (if they remain individual)
  • Injunctive relief for unauthorized use or infringement

18.5 Opt-Out Right

You may opt out of arbitration within 30 days of first accepting these Terms by emailing optout@verdictflow.com with your name, account email, and statement that you wish to opt out of arbitration.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and VerdictFlow regarding the Service.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

19.3 Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

19.5 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet/telecommunications failures.

19.6 Export Controls

The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws.

19.7 Survival

Provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

21. Acknowledgment

BY USING VERDICTFLOW, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

These Terms of Service are effective as of January 6, 2026 and will remain in effect except with respect to any changes in its provisions in the future, which will be in effect immediately after being posted on this page.
